Welcome to Olla.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Olla LLC ("Olla," "we," "our," or "us") governing your access to and use of Olla's websites, web application, software, artificial intelligence features, team collaboration tools, content, and related services (collectively, the "Services").

By creating an account, accessing the Services, or using Olla in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

01 About Olla

Olla is an AI-powered platform that enables individuals and organizations to create, edit, organize, collaborate on, and manage Standard Operating Procedures ("SOPs") using videos, documents, screenshots, images, audio recordings, notes, and other reference materials.

The Services may evolve over time, and Olla may modify, improve, discontinue, or replace features at its discretion.

02 Eligibility

To use Olla, you must:

• be at least thirteen (13) years old;
• have legal capacity to enter binding agreements in your jurisdiction;
• comply with these Terms and applicable law.

If using Olla for an entity, you represent that you have authority to bind it to these Terms.

03 Creating an account

Certain features require an account registered through Google Authentication or an email address and password. You agree to provide accurate, current, complete information and keep it updated.

You are responsible for credential confidentiality and all account activity. Promptly notify Olla of suspected unauthorized access.

04 Your account

You are responsible for all activity associated with your account. You may not share credentials with unauthorized people, impersonate others, provide false information, circumvent authentication, or allow unauthorized access to paid features.

Olla may suspend or terminate accounts involved in fraudulent, deceptive, or abusive activity.

05 Subscription plans

Olla offers subscription-based access, including Solo and Team plans. Features, limitations, pricing, and functionality may change over time. Current pricing is displayed at purchase.

06 Free trial SOP generation

New users may receive a limited opportunity to generate an SOP without a subscription. This introductory use is discretionary and may be modified, limited, or discontinued without notice. Continued AI SOP generation afterward requires an active paid subscription.

07 Billing and payments

Subscription fees are billed through Olla's authorized payment processor. Olla does not store complete payment card information.

By subscribing, you authorize applicable fees, taxes, and authorized charges. Failed payments may suspend paid features until successfully processed.

08 Cancellation

You may cancel through account settings or other available methods. Cancellation stops future recurring charges but does not automatically entitle you to refunds unless required by law or expressly stated by Olla. Paid access may continue through the current billing period.

09 AI services

Olla may use Anthropic (Claude), OpenAI, and future providers to generate SOPs. AI outputs are created automatically from user submissions and may be inaccurate, incomplete, outdated, or incorrect.

• AI-generated SOPs are for informational and productivity purposes only.
• Users must review, edit, approve, validate, and confirm outputs before use.
• Olla does not guarantee accuracy, completeness, legality, or suitability.

Human review is essential to responsible AI usage.

10 Reference materials

Users may upload videos, screenshots, documents, images, audio, notes, and similar materials to generate SOPs. They are processed solely to produce requested AI outputs and are designed to be stored temporarily and removed from active storage after processing.

You represent that you possess all rights necessary to upload and process submitted Reference Materials.

11 User content

Users retain ownership of uploaded content and AI-generated SOPs, subject to applicable third-party AI provider rights.

You grant Olla a limited, worldwide, non-exclusive, royalty-free license to host, process, store, transmit, display, and reproduce content only as necessary to operate, secure, maintain, improve, and provide the Services. This license ends upon permanent deletion, subject to legal, dispute, backup, and enforcement needs.

12 User responsibilities

You must use Olla responsibly and lawfully. You are responsible for account activity, credential confidentiality, lawful and authorized uploads, reviewing AI outputs, and maintaining backups.

Olla is a productivity platform, not a substitute for professional judgment, legal advice, regulatory compliance, or industry expertise.

13 Acceptable use

You may use the Services only for lawful purposes and may not interfere with their security, integrity, availability, or intended operation. You are responsible for compliance with applicable law.

14 Prohibited conduct

You agree not to:

• upload malicious code, unlawful material, infringing content, or content you lack authority to use;
• disrupt the Services, gain unauthorized access, test vulnerabilities without authorization, or circumvent security;
• reverse engineer the Services except where law expressly permits;
• scrape or extract data automatically without written permission;
• abuse APIs, rate limits, infrastructure, plan limits, or account registration;
• impersonate others, provide false information, transmit spam or fraud, or impair another user's access.

Olla determines, in its sole discretion, whether conduct violates these Terms.

15 Intellectual property

Except for User Content, Olla or its licensors own all rights in the Services, including the Olla name, logos, branding, software, source code, interfaces, graphics, documentation, workflows, databases, Olla templates, AI prompt engineering, algorithms, architecture, media, trademarks, and service marks.

These materials are protected by intellectual property law, and use of the Services transfers no ownership rights.

16 User content ownership

You retain ownership of SOPs, drafts, logos, project names, comments, documents, and organizational materials you create or upload. You represent that you own or have permission to use them and that they violate no law or third-party rights.

17 License granted to Olla

You grant Olla a limited, worldwide, non-exclusive, royalty-free license to store, host, process, reproduce, display, transmit, convert, organize, analyze, temporarily copy, and otherwise use content solely to provide, secure, maintain, improve, and support the Services.

This does not transfer ownership and ends upon permanent removal, subject to reasonable backup, legal, and dispute requirements.

18 Team workspaces

Workspace administrators may invite or remove users, assign permissions, organize projects, review activity, manage documents, approve SOPs, and oversee collaboration.

Content intentionally shared in a Team Workspace may be visible to authorized members. Olla is not responsible for authorized members' actions, and organizations must manage their permissions.

19 Service availability

Olla works to maintain reliable Services but does not guarantee uninterrupted or error-free operation. Services may be unavailable for maintenance, upgrades, deployments, security events, infrastructure or third-party failures, Internet disruptions, or circumstances beyond Olla's control.

20 Changes to the Services

Olla may modify, introduce, discontinue, or redesign features; adjust plans or usage limits; improve AI; replace providers; and update technical requirements, with or without notice where permitted. No particular feature is guaranteed to remain available.

21 Beta features

Experimental, preview, early-access, or beta features may contain bugs, differ from final releases, change without notice, or be discontinued at any time. They are used at your own risk and without warranties.

22 Third-party services

Olla integrates with providers including Stripe, Supabase, Google Authentication, Anthropic, OpenAI, Railway, Resend, Cloudflare R2, FFmpeg, Whisper, Vercel, and GitHub.

They operate independently. Olla is not responsible for their outages, changes, pricing, security incidents, or privacy practices. Their own terms and policies may apply.

23 Suspension and termination

Olla may immediately suspend, restrict, disable, or terminate access, with or without notice, for Terms violations, unpaid obligations, fraud, suspected illegal conduct, abuse, risk to infrastructure or users, or security, legal, operational, or reputational harm.

Where practical, Olla may permit resolution before permanent termination but is not obligated to do so. Termination does not eliminate accrued payment or other obligations.

24 Effect of termination

Upon termination or cancellation, access and subscription rights end, stored content may be removed under retention policies, and licenses terminate except where they must survive.

Provisions concerning intellectual property, payments, disclaimers, liability, indemnification, governing law, dispute resolution, and provisions that by nature should survive remain effective.

25 Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLLA DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AVAILABILITY, ACCURACY, RELIABILITY, SECURITY, COMPATIBILITY, AND SATISFACTORY QUALITY.

Olla does not warrant uninterrupted, error-free operation, correction of defects, accurate generated content, or satisfaction of every requirement. Use is at your own risk.

26 AI disclaimer

AI is probabilistic and may produce inaccurate, incomplete, outdated, inconsistent, or misleading information. AI content is not guaranteed fact and must be reviewed by a qualified person.

Users alone must verify generated procedures. Olla does not guarantee regulatory or legal compliance, workplace safety, operational accuracy, or business suitability and is not responsible for decisions made in reliance on AI content.

27 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OLLA AND ITS AFFILIATES, PERSONNEL, LICENSORS, AND PROVIDERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, OPPORTUNITIES, PRODUCTIVITY, GOODWILL, DATA, DOWNTIME, REPLACEMENT COSTS, OR DAMAGES FROM AI CONTENT OR THIRD-PARTY SERVICES.

OLLA'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID OLLA IN THE 12 MONTHS BEFORE THE EVENT OR US $100. Where prohibited, limitations apply only to the extent permitted by law.

28 Indemnification

You agree to defend, indemnify, and hold harmless Olla LLC and its affiliates, personnel, licensors, providers, successors, and assigns from claims, liabilities, damages, losses, judgments, settlements, costs, and reasonable attorneys' fees arising from your use, content, Reference Materials, Terms or law violations, infringement of others' rights, or misuse of AI content. This obligation survives termination.

29 Force majeure

Olla is not liable for failure or delay caused by circumstances beyond reasonable control, including disasters, acts of God, war, terrorism, unrest, labor disputes, government actions, outages, utility failures, cyberattacks, pandemics, provider failures, or infrastructure failures. Obligations are suspended only as reasonably necessary.

30 Governing law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles.

31 Dispute resolution

Before legal proceedings, you agree to contact Olla and attempt good-faith informal resolution. Unresolved disputes may be pursued in Utah state or federal courts, whose exclusive jurisdiction and venue you consent to. Either party may seek appropriate injunctive or equitable relief.

Optional future revision: If Olla grows significantly, this section may be replaced with a binding arbitration agreement and class action waiver after careful legal review.

32 Electronic communications

By creating an account, you consent to electronic account notices, password resets, subscription updates, invoices, payment confirmations, security alerts, feature announcements, legal notices, and support responses. Where permitted, electronic communications satisfy written-notice requirements.

33 Assignment

You may not transfer rights or obligations under these Terms without Olla's written consent. Olla may assign or transfer these Terms in connection with a merger, acquisition, reorganization, asset sale, financing, or other business transaction.

34 Severability

If a court finds a provision unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted and remaining provisions will continue in full force.

35 No waiver

Olla's failure to enforce a provision is not a waiver. A waiver must be written and signed by an authorized Olla representative.

36 Entire agreement

These Terms, the Privacy Policy, and expressly incorporated policies or agreements constitute the entire agreement between you and Olla regarding the Services and supersede prior or contemporaneous agreements, understandings, representations, or communications.

37 Changes to these Terms

Olla may revise these Terms for new features, legal requirements, operational changes, Service improvements, security updates, or provider changes. Material changes will be notified through the Services, by email where appropriate, or other reasonable means.

The Last Updated date identifies the effective version. Continued use after revised Terms take effect constitutes acceptance unless law requires otherwise.
